About |
The practical lecture "From foundation to exit: Successful legal structuring of start-ups" is aimed at all students who would like to found a company or who are interested in founding and financing companies. The lecture covers all typical (legal) topics relevant to start-ups, such as choice of legal form, financing (equity, debt, mezzanine), venture capital investments, financing rounds/capital increases, convertible loans, start-up specific features such as vesting, liquidation preference, veto rights, advisory board, virtual employee stock ownership plans (VSOPs) as well as the various forms of company sale (exit). The aim of the lecture is to provide a detailed, exciting and helpful overview of the legal and practical options available in the context of the formation, financing and sale of companies, as well as what to look out for, especially from a legal point of view.
